Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On October 2, 2019, the Board of Directors of Central Garden & Pet Company amended, effective immediately, Article IV of its By-laws to create a separate officer position for the Chief Executive Officer. The functions of the Chief Executive Officer were previously included in the President position. A copy of the Amended and Restated By-laws effective October 2, 2019 is filed as Exhibit 3.1 to this Current Report on Form 8-K.
