Item 8.01 Other Events.

On June 3, 2021, Box, Inc. (“Box” or the “company”) delivered a response letter (the “Demand Response Letter”) to Starboard Value LP’s outside counsel in response to Starboard Value’s demand for inspection of the books and records of the company pursuant to Section 220 of the Delaware General Corporation Law. A copy of the Demand Response Letter is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
