On January 11, 2021, the Board of Directors of Genco Shipping & Trading Limited (the “Company”) adopted a Third Amendment to the Amended and Restated By-laws of the Company (the “By-Laws”), which provides that, unless the Company consents in writing to the selection of an alternative forum, the sole and exclusive forum for the resolution of any complaint asserting a cause of action arising under the Securities Act of 1933, as amended, shall be the federal district courts of the United States of America.
