Effective November 14, 2023, our Board of Directors approved an amendment of the Company’s Amended and Restated code of By-laws (the “By-law Amendment”). The By-law Amendment prohibits any indemnification or advancement of expenses to a Company director, officer, or employee that would be against public policy, in further support of the Company’s revised Clawback Policy adopted in compliance with listing standards required by the new SEC Rule 10D-1.
