On February 6, 2024, the Company’s Board of Directors (the “Board”) approved an amendment and restatement of the By-laws of the Company (the “Amended By-laws”), effective as of such date.
The Amended By-laws, among other things, (1) revise disclosure requirements for the nomination of directors and the submission of proposals for consideration at annual meetings of stockholders, (2) amend the existing forum selection bylaw to provide that the federal district courts of the United States of America shall be the exclusive forum for the resolution of claims under the Securities Act of 1933, as amended, and (3) reflect other administrative, modernizing, clarifying and conforming changes.
