The exculpation amendment (the “Amendment”) was described in detail in proposal 4 included in the Company’s definitive proxy statement filed with the Securities and Exchange Commission on April 22, 2024 (the “Proxy Statement”). At the Company’s annual meeting of stockholders held on June 7, 2024 (the “Annual Meeting”), the stockholders approved the Amendment.
