On October 22, 2024, the Board of Directors of Ingevity Corporation (the “Company”) approved and adopted amended and restated bylaws of the Company (the “Fourth Amended and Restated Bylaws”), which further amend and restate the Company’s previously adopted bylaws. The Fourth Amended and Restated Bylaws, among other things, revise certain procedural and disclosure requirements applicable to stockholder nominations of directors and the submissions of proposals for consideration at the Company’s stockholder meetings, including to clarify and update the scope of information, disclosures, and representations required with respect to proposing stockholders, proposed nominees, and other related persons.
