In connection with the Separation and Distribution, the Company filed an amended and restated Certificate of Incorporation (the “Amended and Restated Certificate of Incorporation”) with the Secretary of State of the State of Delaware on October 31, 2024 which became effective as of the Effective Time, and amended and restated its Bylaws (the “Amended and Restated Bylaws”), effective immediately thereafter.
